Healthcare Professional Agreement

PART I – INTRODUCTION, RELATIONSHIP AND PROFESSIONAL RESPONSIBILITIES

1. Purpose of this Agreement

This Healthcare Professional Agreement ("Agreement") sets out the terms governing the relationship between Doctorevia ("Doctorevia", "we", "us" or "the Platform") and the healthcare professional accepting this Agreement ("Healthcare Professional", "Doctor" or "Provider").

By joining Doctorevia, the Healthcare Professional agrees to provide healthcare services through the Platform in accordance with the terms of this Agreement and all applicable laws, professional regulations and ethical standards.

2. About Doctorevia

Doctorevia is an international telemedicine platform dedicated to improving access to high-quality healthcare for travellers, expatriates, international residents and other patients seeking medical care in their preferred language.

The Platform enables patients to connect with qualified independent healthcare professionals for medical consultations and related healthcare services delivered remotely.

Doctorevia facilitates communication, appointment scheduling, payment processing and other administrative services required to support the delivery of telemedicine consultations.

Healthcare services available through the Platform may include, where clinically appropriate and legally permitted:

  • Medical consultations;

  • Telemedicine assessments;

  • Medical advice;

  • Prescriptions;

  • Medical certificates;

  • Referrals;

  • Follow-up consultations; and

  • Other healthcare services offered by participating Healthcare Professionals.

Doctorevia's role is to facilitate access to healthcare professionals and support the delivery of telemedicine services. The Platform does not replace the independent professional judgment of the treating Healthcare Professional.

3. Independent Professional Relationship

Healthcare Professionals joining Doctorevia do so as independent practitioners.

Nothing contained within this Agreement shall create, or be interpreted as creating, any relationship of employment, partnership, agency or joint venture between Doctorevia and the Healthcare Professional.

The Healthcare Professional remains entirely independent in the exercise of their profession and is solely responsible for their own professional practice, taxation, regulatory obligations and compliance with applicable laws.

The Healthcare Professional shall not represent themselves as an employee, officer, representative or authorised agent of Doctorevia.

Participation on the Platform does not guarantee any minimum number of consultations, patient referrals or level of income.

4. Eligibility to Join the Platform

The Healthcare Professional confirms that, throughout the duration of this Agreement, they shall:

  • hold a valid licence or registration permitting them to practise their profession;

  • remain in good standing with the relevant professional regulatory authority;

  • possess all qualifications required to provide the healthcare services offered through the Platform;

  • comply with all laws, professional standards and ethical obligations applicable in the jurisdictions where they practise;

  • obtain and maintain any authorisations required to provide telemedicine services; and

  • immediately notify Doctorevia of any circumstance that may affect their professional standing, licence, registration or legal ability to provide healthcare services.

Doctorevia reserves the right to request evidence of professional registration, qualifications or other supporting documentation at any time.

5. Professional Indemnity Insurance

Maintaining appropriate professional indemnity insurance is a fundamental condition of participation on the Doctorevia Platform.

The Healthcare Professional shall maintain valid professional liability insurance covering all healthcare services provided through Doctorevia for the entire duration of this Agreement.

Such insurance shall be appropriate for the nature of the Healthcare Professional's practice and, where applicable, include cover for telemedicine consultations.

The Healthcare Professional agrees to provide evidence of current insurance upon request and shall immediately notify Doctorevia if their insurance expires, is suspended, cancelled or materially altered.

Failure to maintain adequate insurance may result in immediate suspension or termination of access to the Platform.

6. Clinical Independence

The Healthcare Professional shall exercise independent clinical judgment at all times.

All healthcare services provided through Doctorevia are delivered exclusively by the Healthcare Professional, who retains complete responsibility for every professional decision made during the course of patient care.

This includes, without limitation:

  • clinical assessment;

  • diagnosis;

  • investigations;

  • treatment recommendations;

  • prescribing decisions;

  • referrals;

  • issuing medical certificates;

  • follow-up advice;

  • clinical documentation; and

  • determining whether telemedicine is appropriate for the individual patient.

Nothing within this Agreement shall require or permit Doctorevia to direct, influence or interfere with the Healthcare Professional's independent clinical judgment.

7. Responsibility for Medical Services

The Healthcare Professional acknowledges and agrees that all healthcare services provided through Doctorevia are performed under their sole professional responsibility.

Accordingly, the Healthcare Professional accepts full responsibility for:

  • the quality of the medical care provided;

  • the accuracy of clinical assessments;

  • diagnoses and treatment decisions;

  • prescriptions and referrals;

  • compliance with applicable professional standards;

  • maintenance of appropriate medical records where required by law;

  • obtaining informed consent where applicable; and

  • any consequences arising from the healthcare services they provide.

Doctorevia is not responsible for clinical decision-making and accepts no responsibility for the medical advice, diagnosis, treatment or professional services provided by Healthcare Professionals using the Platform.

8. Professional Standards

Healthcare Professionals participating on Doctorevia are expected to uphold the highest standards of medical professionalism.

The Healthcare Professional agrees to provide healthcare services with honesty, integrity, compassion and respect for patient autonomy, while practising in accordance with current medical knowledge, accepted clinical standards and applicable professional guidance.

Where a patient's condition cannot be safely or appropriately managed through telemedicine, the Healthcare Professional shall advise the patient to seek suitable in-person medical assessment or emergency care without delay.

Healthcare Professionals shall always place the interests and safety of the patient above all other considerations.

PART II – USE OF THE PLATFORM, PAYMENTS AND OPERATIONAL TERMS

9. Services Provided by Doctorevia

Doctorevia provides a secure telemedicine platform that enables Healthcare Professionals to offer their services to patients.

The Platform may include, among other features:

  • Appointment scheduling;

  • Patient booking management;

  • Secure communication tools;

  • Telemedicine consultation technology;

  • Payment processing;

  • Administrative support;

  • Automated appointment reminders; and

  • Other digital services designed to facilitate the delivery of healthcare.

Doctorevia may improve, modify or expand the Platform at any time in order to enhance patient experience, operational efficiency or regulatory compliance.

10. Appointment Availability

Healthcare Professionals are free to determine:

  • their availability;

  • consultation hours;

  • consultation types;

  • countries in which they practise (subject to applicable law); and

  • periods of absence.

Acceptance of appointments through the Platform constitutes a commitment to attend the consultation at the agreed date and time, except where exceptional circumstances prevent attendance.

11. Delivery of Healthcare Services

The Healthcare Professional agrees to:

  • conduct consultations professionally and respectfully;

  • dedicate appropriate time and attention to each patient;

  • maintain accurate clinical documentation where required by law;

  • provide appropriate follow-up where clinically necessary;

  • prescribe medication only when clinically justified and legally permitted;

  • recommend face-to-face assessment or emergency care whenever telemedicine is not appropriate;

  • communicate clearly with patients; and

  • comply with all applicable professional standards.

Healthcare Professionals remain entirely responsible for determining whether a consultation can safely be completed through telemedicine.

12. Patient Communication

All communications with patients originating through Doctorevia should take place through the communication channels made available by the Platform whenever reasonably possible.

Healthcare Professionals shall communicate professionally, respectfully and in a timely manner.

Any patient information obtained through Doctorevia shall be used exclusively for the provision of healthcare services and shall never be used for personal, commercial or unrelated purposes.

13. Fees and Payments

Patients shall pay consultation fees through the Doctorevia Platform.

For each completed consultation, Doctorevia shall retain a Platform Fee equal to thirty percent (30%) of the consultation fee.

The remaining seventy percent (70%) shall be payable to the Healthcare Professional in accordance with the Platform's payment schedule.

Doctorevia reserves the right to deduct any refunds, chargebacks, payment processing costs required by law or other authorised adjustments before payment is made.

Healthcare Professionals remain solely responsible for their own tax obligations arising from payments received through the Platform.

14. Cancellations

Patients may cancel appointments in accordance with Doctorevia's Patient Terms and Conditions.

Healthcare Professionals should avoid cancelling confirmed appointments whenever reasonably possible.

Where cancellation becomes unavoidable, the Healthcare Professional shall provide as much notice as possible to both the patient and Doctorevia.

Repeated cancellations, failures to attend scheduled consultations or persistent lateness may result in suspension or removal from the Platform.

15. Refunds

Refund decisions relating to payments processed through the Platform shall be managed by Doctorevia in accordance with its Patient Terms and Conditions.

Refunds issued to patients do not constitute a determination regarding the quality of medical care provided.

Nothing in this Agreement authorises Doctorevia to interfere with or review the Healthcare Professional's independent clinical judgment.

16. Platform Integrity

Healthcare Professionals contribute to maintaining the reputation and integrity of Doctorevia.

Accordingly, Healthcare Professionals agree not to:

  • misuse the Platform;

  • provide false or misleading information;

  • interfere with the operation or security of the Platform;

  • impersonate another individual;

  • access information without authorisation;

  • use the Platform for unlawful purposes; or

  • engage in conduct that may damage the reputation of Doctorevia.

17. Non-Circumvention

Patients introduced through Doctorevia are patients of the Platform.

Healthcare Professionals agree not to encourage, request or facilitate patients to arrange consultations, payments or ongoing treatment outside Doctorevia where the relationship originated through the Platform.

This restriction applies to direct payments, private booking arrangements and any attempt to avoid the Platform's booking or payment systems.

Nothing in this clause prevents a Healthcare Professional from maintaining an independent medical practice or accepting patients through other legitimate channels that have not been introduced through Doctorevia.

18. Professional Conduct

Healthcare Professionals shall conduct themselves in a manner consistent with the values of Doctorevia.

This includes:

  • treating every patient with dignity and respect;

  • maintaining confidentiality;

  • acting honestly and ethically;

  • avoiding discrimination;

  • complying with applicable professional guidance;

  • protecting patient safety at all times; and

  • preserving the reputation of the Platform.

Healthcare Professionals acknowledge that trust is fundamental to telemedicine and agree to uphold the highest standards of professional behaviour in every interaction with patients.

PART III – CONFIDENTIALITY, LIABILITY, TERMINATION AND GENERAL PROVISIONS

19. Confidentiality

The Healthcare Professional acknowledges that, during their relationship with Doctorevia, they may have access to confidential information relating to the Platform, its business operations, technology, commercial strategies, pricing, internal procedures, documentation and other non-public information.

The Healthcare Professional agrees to:

  • keep all confidential information strictly confidential;

  • use such information solely for the purpose of providing healthcare services through Doctorevia;

  • not disclose confidential information to any third party without prior written consent from Doctorevia, unless required by law; and

  • take reasonable steps to protect confidential information from unauthorised access or disclosure.

These obligations shall continue after this Agreement has ended.

20. Data Protection and Patient Confidentiality

The Healthcare Professional shall comply with all applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.

The Healthcare Professional is responsible for maintaining the confidentiality of all patient information obtained through the Platform and shall process such information solely for the purpose of providing healthcare services.

Patient information shall not be copied, retained, shared or used for any purpose unrelated to the provision of healthcare, except where required by law or with the patient's lawful consent.

Both parties agree to cooperate in maintaining appropriate technical and organisational measures to protect personal data.

21. Intellectual Property

All intellectual property relating to Doctorevia, including but not limited to:

  • the Doctorevia name;

  • trademarks;

  • logos;

  • website content;

  • software;

  • platform design;

  • documentation;

  • educational material;

  • protocols;

  • artificial intelligence tools;

  • graphics;

  • databases; and

  • other proprietary material,

shall remain the exclusive property of Doctorevia or its licensors.

Nothing contained in this Agreement transfers ownership of any intellectual property rights to the Healthcare Professional.

The Healthcare Professional may use Doctorevia branding only for purposes authorised by the Platform.

22. Suspension and Removal from the Platform

Doctorevia is committed to maintaining a safe, ethical and high-quality telemedicine service.

Accordingly, Doctorevia reserves the right to suspend, restrict or permanently remove a Healthcare Professional from the Platform where it reasonably believes that such action is necessary to protect patients, maintain professional standards or safeguard the integrity and reputation of Doctorevia.

Circumstances that may result in suspension or termination include, but are not limited to:

  • loss or suspension of professional registration;

  • failure to maintain appropriate professional indemnity insurance;

  • serious or repeated breaches of this Agreement;

  • unlawful or unethical conduct;

  • fraudulent activity;

  • repeated patient complaints of a serious nature;

  • behaviour likely to damage the reputation of Doctorevia;

  • failure to comply with applicable laws or professional regulations; or

  • any circumstance that, in Doctorevia's reasonable opinion, poses a risk to patient safety or the proper operation of the Platform.

Where appropriate, Doctorevia may provide the Healthcare Professional with an opportunity to respond before making a final decision.

23. Liability

Each Healthcare Professional acknowledges that they are solely responsible for the healthcare services they provide through Doctorevia.

Doctorevia shall not be liable for:

  • medical advice;

  • diagnoses;

  • prescriptions;

  • treatment decisions;

  • referrals;

  • clinical documentation;

  • patient outcomes;

  • professional negligence; or

  • any act or omission of the Healthcare Professional arising from the provision of healthcare services.

The Healthcare Professional accepts full legal and professional responsibility for all healthcare services delivered through the Platform.

Nothing in this Agreement excludes liability where such exclusion is prohibited by applicable law.

24. Indemnity

The Healthcare Professional agrees to indemnify and hold harmless Doctorevia, its directors, officers, employees, shareholders and affiliates against any claim, action, loss, liability, damage, cost or expense arising directly or indirectly from:

  • the Healthcare Professional's clinical practice;

  • professional negligence;

  • breach of professional duties;

  • breach of this Agreement;

  • breach of applicable laws or regulations;

  • infringement of third-party rights; or

  • any claim arising from healthcare services provided by the Healthcare Professional.

This indemnity shall survive termination of this Agreement.

25. Termination

Either party may terminate this Agreement by providing fourteen (14) days' written notice.

Doctorevia may terminate this Agreement immediately where continued participation of the Healthcare Professional would:

  • place patients at risk;

  • expose Doctorevia to legal or regulatory liability;

  • seriously damage the reputation of the Platform; or

  • constitute a material breach of this Agreement.

Termination shall not affect any rights or obligations arising before the date of termination.

26. Amendments

Doctorevia may update this Agreement from time to time to reflect changes in legislation, professional requirements or the operation of the Platform.

Healthcare Professionals will be notified of material changes.

Continued use of the Platform following such notification shall constitute acceptance of the updated Agreement.

27. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which Doctorevia is incorporated, unless otherwise required by mandatory applicable law.

Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.

28. Entire Agreement

This Agreement constitutes the entire agreement between Doctorevia and the Healthcare Professional in relation to the use of the Platform and supersedes all previous discussions, representations or understandings relating to its subject matter.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

29. Acceptance

By accepting this Agreement electronically or by signing below, the Healthcare Professional confirms that they:

  • have read and understood this Agreement;

  • satisfy all professional requirements described herein;

  • maintain valid professional registration and professional indemnity insurance;

  • agree to comply with the standards and obligations established by Doctorevia; and

  • accept full professional responsibility for the healthcare services they provide through the Platform.
